General Terms of Purchase
General Provisions
These General Terms of Purchase (“Terms”) apply to quotations, purchase orders, and contracts for the design, manufacture, testing, supply, and related engineering support of switchgear and associated equipment by Quality Switchgears (“Seller”), based in Lahore, Pakistan, to the buyer named in the commercial documents (“Buyer”).
Unless Seller agrees otherwise in writing, these Terms prevail over any conflicting terms in Buyer’s purchase order or other forms. Project-specific schedules, approved drawings, and mutual written amendments take precedence over these Terms where they expressly state so.
Website Terms of Service govern use of our digital channels only. They do not replace these commercial Terms for supply of goods.
These General Terms of Purchase cover the following sections:
(1) Quotations and validity
Quotations are invitations to treat unless expressly stated as firm offers. Prices, lead times, and inclusions are valid for the period stated on the quotation (or 30 days if none is stated), and may be withdrawn earlier by written notice.
Quotations are based on the information Buyer provides. Incomplete load data, unclear form of assembly, or missing site constraints may require revised pricing and programme after clarification.
(2) Orders and acceptance
A contract is formed when Seller issues written acceptance of Buyer’s purchase order, or when Seller confirms commencement of work against an agreed quotation. Seller may refuse orders that conflict with these Terms or with manufacturing capacity.
Buyer’s standard purchasing conditions do not apply unless Seller countersigns them. Performance against an order does not imply acceptance of Buyer’s conflicting terms.
(3) Scope of supply
Scope is limited to the equipment, ratings, accessories, documentation, and services listed in the accepted quotation or order confirmation and the approved drawing package.
Unless expressly included, civil works, cable supply, site installation labour, external protection relays not specified, and third-party certifications beyond Seller’s standard routine tests are excluded.
Standards and practices referenced (including IEC, WAPDA, or project specifications) apply only to the extent stated in the commercial and technical documents for that order.
(4) Changes and variations
Changes to ratings, form of segregation, devices, finishes, documentation, or delivery programme after order acceptance require Seller’s written agreement and may adjust price and schedule.
Buyer shall respond promptly to drawing submissions. Delay in approval may extend delivery without liability on Seller for that extension.
(5) Price and taxes
Prices are as stated in the accepted quotation or order confirmation, in the currency specified. Unless noted otherwise, prices exclude sales tax, duties, and other government charges, which Buyer shall pay as applicable.
Material or currency movements beyond Seller’s reasonable control may be addressed by written adjustment where the quotation expressly allows, or by mutual agreement before manufacture proceeds.
(6) Payment
Payment terms are those stated on the quotation or invoice. Typical arrangements may include advance, progress, and balance against readiness or delivery — as agreed in writing for each order.
Late payment may incur interest at the rate stated on the invoice or, if none, a reasonable commercial rate, and may suspend manufacture or dispatch until accounts are current. Title to goods remains with Seller until paid in full where permitted by law.
(7) Delivery, packing, and risk
Delivery dates are estimates based on timely approvals, free issue of Buyer materials (if any), and cleared payments. Seller will use reasonable efforts to meet the agreed programme.
Unless otherwise agreed, risk passes on delivery to the carrier or on collection by Buyer from Seller’s works. Packing is suitable for normal road transport in Pakistan; export packing, special crates, or insurance are chargeable extras unless included.
Buyer shall inspect goods on arrival and notify Seller of transit damage or short shipment within a reasonable time (and no later than seven days after receipt, unless law requires longer).
(8) Inspection and testing
Seller performs routine visual inspection, dielectric withstand, and continuity checks consistent with the order and good manufacturing practice before release, unless a different test plan is agreed in writing.
Factory acceptance tests (FAT) witnessed by Buyer are available when specified in the order. Costs of Buyer’s attendance, third-party inspectors, and additional type or special tests are payable by Buyer unless quoted inclusive.
(9) Warranty
Seller warrants that goods will be free from defects in materials and workmanship under normal use for twelve (12) months from delivery, or as otherwise stated in the order confirmation.
Warranty excludes damage from improper installation, unsuitable environment, overload, misuse, unauthorised modification, or failure to follow Seller’s instructions. Consumables and parts subject to normal wear are excluded unless defective on delivery.
Seller’s obligation under warranty is, at Seller’s option, to repair or replace the defective part or refund the price attributable to it. This is Buyer’s exclusive remedy for warranty claims.
(10) Limitation of liability
Except for fraud, wilful misconduct, or liability that cannot be limited by law, Seller’s total liability under a contract shall not exceed the price paid for the goods giving rise to the claim.
Seller is not liable for indirect, incidental, special, or consequential loss — including loss of production, profit, data, or business opportunity — whether in contract, tort, or otherwise.
(11) Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disaster, war, epidemic, government action, utility failure, labour dispute, or shortage of critical materials, provided the affected party gives prompt notice and mitigates where practical.
If force majeure continues for more than ninety (90) days, either party may terminate the affected portion of the contract by written notice without liability for that termination, subject to payment for work properly performed.
(12) Drawings and intellectual property
Drawings, software, and documentation prepared by Quality Switchgears remain Seller’s intellectual property. Buyer receives a non-exclusive licence to use them for installation, operation, and maintenance of the supplied goods.
Buyer shall not copy or disclose Seller’s drawings to third parties for competing manufacture without written consent. Buyer-furnished data remains Buyer’s property; Seller may use it solely to perform the contract.
(13) Governing law
These Terms and related contracts are governed by the laws of Pakistan. Courts in Lahore, Pakistan have exclusive jurisdiction, unless the parties agree in writing to arbitration seated in Pakistan.
If any provision is held unenforceable, the remainder continues in effect. These Terms, with the accepted quotation, drawings, and order confirmation, constitute the entire agreement for the supply and supersede prior negotiations on the same subject.
